Kevin Fenstemaker focuses his practice on corporate and transactional matters, including the purchase, sale, leasing and financing of commercial real estate, and the formation and organization of corporate entities.

Kevin has broad experience representing clients in complex real estate transactions, including structuring, drafting and negotiating financial agreements, loan agreements, ground leases, development agreements and related project agreements.

Prior to joining OLSS, Kevin was a partner at the leading public finance law firm in New Jersey, where he represented issuers, lenders, developers and borrowers in complex project financing transactions involving conventional lending, tax credit and other incentive programs, and bond financing programs involving the cumulative issuance of billions of dollars of taxable and tax-exempt bonds.

  • Represented the developer in the multi-billion dollar development of a large scale commercial development on publicly-owned land involving conventional lending and bond issues backed by payments in lieu of taxes and annual grants tied to incremental taxes generated by the project
  • Represented developers in financing transactions involving new markets tax credits, historic tax credits and low-income housing tax credits
  • Represented a commercial lender in connection with the financing of a charter school facility with conventional debt and the purchase of tax credit entitlements
  • Represented public housing authorities in the ground leasing and development of redundant public land to private developers for commercial developments
  • Represented public housing authorities in partnerships with private developers for the development and redevelopment of affordable and mixed-income housing developments
  • Represented charter schools in financing transactions for the acquisition, rehabilitation or new construction of school facilities involving a combination of construction and permanent financing, tax credits and bond issuances
  • Represented landlords in connection with the leasing and subleasing of commercial real estate
  • Represented clients in the acquisition of fee and long-term leasehold interests in commercial real estate
